Agreement to our legal terms

We are AstaBG ltd, doing business as propelia (“Company,” “we,” “us,” “our”), a company registered in Bulgaria at Sava Toshev 4, Sevlievo 5400. Our VAT number is BG107513768.

We operate the website propelia.eu (the “Site”), as well as any other related products and services that refer or link to these legal terms (the “Legal Terms”) (collectively, the “Services”).

Our platform provides an innovative solution for property management, connecting property owners, tenants, and real estate agencies. Users can post property listings, search for suitable offers, and utilize market analysis tools. The platform offers secure payment processing methods, integration with verification services, and personalized recommendations powered by artificial intelligence.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and AstaBG ltd, concerning your access to and use of the Services. By accessing the Services, you agree that you have read, understood, and agreed to be bound by all of these Legal Terms. If you do not agree with all of these Legal Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.

We will provide you with prior notice of any scheduled changes to the Services you are using. The modified Legal Terms will become effective upon posting or notifying you by email (office@propelia.eu). By continuing to use the Services after the effective date of any changes, you agree to be bound by the modified terms.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

We recommend that you print a copy of these Legal Terms for your records.

1. Our services

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. Users accessing the Services from other locations do so on their own initiative and are responsible for compliance with local laws.

2. Intellectual property rights

We are the owner or the licensee of all intellectual property rights in our Services, including source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the “Content”), as well as the trademarks, service marks, and logos contained therein (the “Marks”).

Our Content and Marks are protected by copyright, trademark laws, and other intellectual property rights worldwide, and are provided “AS IS” for your personal, non-commercial use or internal business purpose only.

Your use of our Services. Subject to your compliance with these Legal Terms, including the Prohibited Activities section below, we grant you a non-exclusive, non-transferable, revocable license to:

• access the Services; and
• download or print a copy of any portion of the Content to which you have properly gained access,

solely for your personal, non-commercial use or internal business purpose. Except as set out above, no part of the Services or any Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our prior written permission.

3. User representations

By using the Services, you represent and warrant that:

1. all registration information you submit will be true, accurate, current, and complete;
2. you will maintain the accuracy of such information and promptly update it as necessary;
3. you have the legal capacity and agree to comply with these Legal Terms;
4. you are not a minor in the jurisdiction in which you reside;
5. you will not access the Services through automated or non-human means;
6. you will not use the Services for any illegal or unauthorized purpose; and
7. your use of the Services will not violate any applicable law or regulation.

If you provide information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services.

4. User registration

You may be required to register to use the Services. You agree to keep your password confidential and are responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine it is inappropriate, obscene, or otherwise objectionable.

5. Purchases and payment

We accept Visa, Mastercard, and PayPal. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. Sales tax will be added where required. We may change prices at any time. All payments shall be in Euros.

You agree to pay all charges at the prices then in effect for your purchases and any applicable shipping fees, and you authorize us to charge your chosen payment provider for any such amounts upon placing your order. We reserve the right to correct pricing errors and to refuse any order.

6. Subscriptions

Your subscription will continue and automatically renew unless canceled. You consent to recurring charges until cancellation. The billing cycle is annual.

Free Trial. We offer a free trial to new users who register with the Services. Users are entitled to publish one property listing free of charge as part of our free trial offer. After the first free listing, publishing a second or any subsequent listing requires payment of a subscription fee of €99 for one year. At the end of the free trial (i.e., after the first free listing), the account will be charged according to the selected subscription plan if the user chooses to publish additional listings.

Cancellation. You can cancel your subscription at any time by contacting us. Cancellation takes effect at the end of the current paid term.

Fee Changes. We may change the subscription fee and will communicate any price changes in accordance with applicable law.

7. Return policy

All sales are final and no refund will be issued.

8. Prohibited activities

You may not access or use the Services for any purpose other than that for which we make them available. In particular, you agree not to:

• systematically retrieve data or other content to create a database without permission;
• trick, defraud, or mislead us or other users;
• circumvent or interfere with security features;
• disparage, tarnish, or harm us or the Services;
• harass or harm another person;
• improperly use support services;
• use the Services in violation of laws or regulations;
• engage in unauthorized framing or linking;
• upload harmful material such as viruses or spam;
• engage in automated use such as bots or scraping;
• delete proprietary notices from any Content;
• impersonate another or use another’s username;
• upload tracking mechanisms or malware;
• interfere with or burden the Services or its networks;
• harass or intimidate our staff;
• bypass measures designed to restrict access;
• copy or adapt the Services’ software;
• decipher or reverse engineer any software except as permitted by law;
• use the Services to compete with us or for revenue-generating endeavors;
• advertise or offer to sell goods and services; or
• publish false, misleading, or fraudulent listings or information.

9. User generated contributions

Contributions include any content you post or upload to the Services. When you submit Contributions, you agree that:

• you own or have licenses to all intellectual property rights;
• you have consent from any identifiable individuals depicted;
• the Contributions are not false, misleading, or unlawful;
• the Contributions are not unsolicited advertising, spam, or offensive;
• the Contributions do not violate privacy, publicity rights, or applicable laws.

You grant us a perpetual, non-exclusive, worldwide, royalty-free license to use, copy, reproduce, distribute, modify, publicly display, perform, and otherwise exploit your Contributions in any media. We may remove or edit your Contributions at any time for any reason without notice.

10. Contribution license

By posting Contributions or linking Third-Party Accounts, you grant us an unrestricted, irrevocable, perpetual, non-exclusive, transferable, royalty-free license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, store, translate, transmit, excerpt, and distribute such Contributions in any media formats. We retain all ownership of your Contributions but may edit or archive them at our discretion.

11. Guidelines for reviews

Reviews must be based on firsthand experience and not contain profanity, discrimination, illegal references, false statements, or organized review campaigns. We may accept, reject, or remove reviews in our sole discretion.

12. Social media

You may link your account to third-party service providers. You authorize us to access your Social Network Content and use it in accordance with these terms. Your relationship with third-party providers is governed by their terms. You may deactivate such links at any time.

13. Third-party websites and content

The Services may contain links to third-party websites and content. We do not investigate or endorse third-party materials and are not responsible for them. Accessing them is at your own risk.

14. Services management

We may monitor the Services for violations, take legal action, restrict access, disable content, and otherwise manage the Services to protect our rights and ensure proper operation.

15. Privacy policy

Review our Privacy Policy. By using the Services you agree to it. The Services are hosted in Germany; if you access from elsewhere, you consent to data transfer to Germany.

16. Copyright infringements

To report alleged copyright infringement, notify us using the contact information below. Misrepresentations may subject you to liability.

17. Term and termination

These Legal Terms remain in effect while you use the Services. We may terminate or suspend your access at any time, with or without cause, without notice. Upon termination you must refrain from creating new accounts and we may pursue legal remedies.

18. Modifications and interruptions

We may change, modify, or remove content or discontinue the Services at any time without notice or liability. We cannot guarantee availability and are not liable for downtime or discontinuance.

19. Governing law

These Legal Terms are governed by the laws of Bulgaria, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer in the EU, you retain protections of your residency jurisdiction. Disputes may be brought in the courts of Sofia, Bulgaria, or the EU country where you reside.

20. Dispute resolution

Informal Negotiations. Parties agree to attempt to resolve disputes informally for at least 30 days.

Binding Arbitration. Disputes shall be determined by one arbitrator under the rules of the European Court of Arbitration (Strasbourg), seat in Sofia, Bulgaria; language English, German, or Bulgarian; substantive law of Bulgaria.

Restrictions. Arbitration is limited to disputes between the parties and may not proceed on a class-action basis. Certain disputes (e.g., IP enforcement, theft, injunctions) are excepted and may be litigated in court.

21. Corrections

We may correct errors, inaccuracies, or omissions and update information without notice.

22. Disclaimer

Services are provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties to the fullest extent permitted by law, including accuracy, completeness, non-infringement, and merchantability. We are not responsible for any loss or damage arising from use of the Services, third-party links, or content.

23. Limitations of liability

We, our directors, employees, and agents will not be liable for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the Services. Our liability to you is limited to €500. Some jurisdictions may not allow such limitations.

24. Indemnification

You agree to defend, indemnify, and hold us harmless from losses, damages, liabilities, claims, or demands (including attorneys’ fees) arising from your use of the Services, contributions, breach of these Legal Terms, violation of third-party rights, or overt harmful acts toward other users.

25. User data

We maintain certain data you transmit for Services performance. You are responsible for your data; we have no liability for loss or corruption of data.

26. Electronic communications, transactions, and signatures

Visiting the Services, sending emails, and completing forms constitute electronic communications. You consent to receive electronic communications and agree that they satisfy legal writing requirements. You agree to electronic signatures and records, waiving rights requiring original signatures or paper records.

27. Miscellaneous

These Legal Terms and related policies constitute the entire agreement. Failure to enforce any provision is not a waiver. The terms operate to the fullest extent permitted by law. We may assign rights and obligations. We are not responsible for causes beyond our control. If any provision is unenforceable, it is severable. No joint venture or agency is created. These terms will not be construed against us as drafter. You waive defenses based on form of these terms or lack of signing.
